Design Day

This document acts as a mutual Agreement to define the terms of service for the working relationship between Caryssa O’Connell of Franklin & Willow and Client of {{You’re Company}}. By signing this Agreement you (“Client”) agree to hire Franklin & Willow to perform a website design intensive (“Design Day”) and agree to the terms of service stated in this Agreement.

All projects and services that Franklin & Willow will be contracted to produce for Client will be subject to the following:

PROJECT SCOPE:

  • During the Design Day, Franklin & Willow agrees to devote 8 hours to custom website design work as determined and prioritized by Client, in addition to a 30 minute pre-Design Day strategy session, digital access to 3 customizable website add-on template pages (at Franklin & Willow’s discretion), 1 hour for post-Design Day edit requests, and 30 days of post-Design Day email and video recording support.
  • Scheduling will be at the discretion of Client. Design Day will typically take place between the hours of 8am – 4pm Central Standard Time (CST) on a Monday, Tuesday or Thursday.
  • During the 30 days of post-Design Day support, Client will be able to email Franklin & Willow with any questions or concerns about the work that was performed during the Design Day, and will receive a reply via email or recorded video tutorials. This support does not cover additional design or website work that exceeds what was done during the Design Day.
  • If Client has additional design requests that needs to be performed, Client will have the option to book another day or a half-day.

CLIENT RESPONSIBILITIES:

  • Client will provide accurate, complete, and timely information and materials to Franklin & Willow no later than 1 week prior to the Design Day. Failure to submit these materials on or before the deadline may negatively impact the project’s success.
  • Client agrees to be “virtually available” from 8am-4pm CST (unless time-frame is otherwise communicated in writing) on the Design Day to answer questions, provide design feedback and approval as requested, and respond to Franklin & Willow in a timely manner. The success of the project may be negatively impacted if Client fails to be available, responsive, and active on the Design Day.
  • Client will provide feedback within 30 minutes of each design update as presented by Franklin & Willow on the Design Day.
  • Client will approve and proofread all final designs, copy, and website. Franklin & Willow will make all efforts to ensure that no information is misrepresented. However, Client assumes all responsibility for content.
  • If Client makes alterations to the original design on or following Design Day that causes issues with the website and is not included in the original project scope, Client agrees to pay an additional fee for Franklin & Willow to fix the issue(s).

COPYRIGHT & CREDIT:

  • Franklin & Willow agrees to create original work for Client, free of plagiarism.
  • Franklin & Willow holds copyright of any work created during this project until final payment has been made and files have been handed over. At that time, the copyright of the work transfers to Client to use in any way deemed appropriate.
  • Franklin & Willow may use designs, samples, photographs, or screenshots of the work created under this Agreement for Franklin & Willow’s promotional purposes (such as marketing, social media, or website) throughout the design process and following completion of the project.
  • Client authorizes Franklin & Willow to use their name, photo, brief biographical data, and written statements, images, audio recordings, or video recordings for Franklin & Willow’s promotional purposes (such as marketing, social media, or website).
  • Credit to Franklin & Willow should be used on all publicity/promotion of this project.
  • Credit to Franklin & Willow should be expressly written in the footer of Client’s custom website design for the duration that the website is public.

CONFIDENTIALITY:

  • Franklin & Willow acknowledges that they may have access to information which relates to the Client’s products, creative works, marketing strategies, projects, and other information. Franklin & Willow agrees to protect the confidentiality of this information.

REVISIONS & ALTERATIONS:

  • Client will provide feedback within 30 minutes of each design update as presented by Franklin & Willow on the Design Day.
  • Client agrees to use the messaging system (as determined by Franklin & Willow) to communicate with Franklin & Willow on the Design Day.
  • Following the conclusion of the Design Day, Client has 3 business days (Monday-Friday) to send additional edit requests, in order of preference, to Franklin & Willow. Franklin & Willow will complete the requests within 7 business days following the Design Day.
  • Franklin & Willow agrees to apply 1 hour’s worth of design alterations to Client’s website, based on Client’s list of prioritized edit requests.
  • Client understands that outside of the Design Day and the 1 hour’s worth of post-Design Day edits, no additional design work will be performed by Franklin & Willow.

PAYMENT & EXPENSES:

  • Payment for these services will be to Franklin & Willow at the rate of $2,000 and will be due in full at the time of booking the Design Day.
  • Franklin & Willow reserves the right to suspend work and withhold delivery of any project documents until past due balances are paid.
  • Design services in addition to the Design Day will be made available by Franklin & Willow at the current day or half-day rate, and will be billed separately.
  • If Client has requests for stock photography, premium fonts, artwork and 3rd party application services, Client agrees to purchase the licenses for those item(s) outside of this contract.
  • If Franklin & Willow is unsuccessful with receiving communication from Client within 30 days of the initial contact attempt, Client will be billed for the work completed to-date. Franklin & Willow reserves the right to retain copyright of all design work and files until Client pays the full amount owed as stated in this Agreement.

CANCELLATION & REFUND POLICY:

  • Both parties understand that Client or Franklin & Willow may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by any party.
  • If the project is terminated before the service has been fully fulfilled, Franklin & Willow will keep the non-refundable deposit and any fees paid to that point.
  • If Client decides to cancel the service after files and website have been transferred, Franklin & Willow reserves the right to keep the full payment amount.
  • While this purchase is non-refundable, it may be transferred to another date or service with written notice 7 days prior to the date of the booked Design Day. Client’s deposit is valid for 90 days, and must be used within that timeframe.
  • In the event the Design Day fails to occur within 90 days, or Client fails to request a new date at least 7 days prior to their booked appointment, the deposit will be forfeited, and the Design Day will be terminated.
  • If Client wishes to reschedule beyond 90 days, the original deposit may, at Franklin & Willow discretion, be applied to a new booking at the current intensive rate, which may or may not be higher than the original booking rate.
